Delta is an exploration project comprising 249 State of Alaska mining claims covering 16,123 hectares, 60 kilometres southwest of Tok in central Alaska near the Alaska Highway. Multiple known VMS lenses and untested electromagnetic conductors offer exploration potential; conductors alone do not indicate a mineral deposit. The May 17, 2006 estimate is historical, has not been sufficiently verified by a qualified person and is not treated by Vizsla Copper as a current mineral resource. The proposed acquisition is through all membership interests of Delta Project LLC. At closing, a 2.0% NSR would be granted to Agnico Eagle (USA) Limited, with the right to purchase 50% of the NSR for C$5 million. Contingent payments are C$5 million on disclosure of at least 300,000 copper equivalent tonnes in a mineral resource, C$5 million on completion of a feasibility study and C$10 million on commercial production.
