Underground coal project comprising MDL 277, MDL 377 and EPC 548 adjacent to Eagle Downs and Isaac Downs Extension. Stanmore agreed to acquire 100% of the tenements from Exxaro for US$105 million; completion is expected before the end of Q4 2026, conditional on Exxaro first acquiring Anglo American's 50% interest and regulatory approvals including FIRB, ACCC and indicative ministerial approval for tenement transfer. Potential access to the deeper Goonyella Middle Seam through Eagle Downs infrastructure depends on Eagle Downs development, further technical studies, feasibility assessments and all necessary mining and environmental approvals. Completion would extinguish up to US$60 million of deferred and contingent consideration under the 2024 Designated Area Agreement. Stanmore has not independently validated or adopted the former owner's resource estimates and intends to commission an independent Resource report after completion.
