The approximately 569-hectare Jabali Gold Project comprises the El Jabali and Las Moritas concessions in the Mulatos Mining District, Sonora, and contains the past-producing La Dura underground gold mine. La Dura is not currently producing. The interpreted high-sulphidation epithermal deposit is hosted in silicified dacitic volcanics; historical drill results have not yet been verified by Regency. Under the September 8, 2026 binding agreement, Regency proposes to acquire all shares of Tarachi Gold S.A. de C.V. for a 100% project interest. Consideration includes US$70,000 on execution, 20 million Regency shares upon reaching a toll milling agreement, US$1 million six months after commercial production, a further US$1 million twelve months later, US$2 million after extracting 50,000 gold-equivalent ounces, and a 2% NSR. The Regency shares are subject to voluntary pooling with releases of 5 million on Exchange acceptance and 5 million every six months thereafter. Transfer of Tarachi Gold shares occurs upon issuance of the Regency shares; closing remains subject to customary conditions and TSXV acceptance.
