Liberty Ridge comprises 269 contiguous unpatented BLM lode claims covering approximately 5,351 acres in Elko County, about 100 miles northeast of Elko. Patriot's binding January 2026 LOI contemplates a staged earn-in through exploration spending and up to 20 million shares and 20 million warrants, after which it could own 100%. The transaction remains conditional on definitive documents, regulatory and shareholder approvals, a technical report, consolidation, TSXV NEX delisting and CSE listing. Patriot has begun preliminary exploration planning, but has not earned an ownership interest and has no current resource.
